ILC attorneys have extensive corporate experience in representing commercial clients

Within the corporate governance aspect of the corporate practice, ILC establishes and maintains legal entities, branches and representative offices. ILC attorneys advise clients on the appropriate corporate structure to achieve their business objectives and comply with corporate law and other applicable legislation. Addressing the issues arising in multi-party and cross-border transactions, ILC assist entrepreneurs in structuring relationship between venture partners and advises management and shareholders of the companies on following corporate procedures and internal corporate documentation. ILC also conducts due diligence and related activities in connection with financing and mergers and acquisition.
The firm’s attorneys negotiated and drafted complex documentation in connection with numerous major corporate transactions, including mergers and acquisitions, investment, corporate finance, joint ventures and privatization. ILC has been involved in numerous multi-million dollar transactions in the United States and the countries of the former Soviet Union regarding technology development, financing transactions and major investments in energy, biotechnology, information technology and telecommunication companies.
The firm represents corporate clients in structuring and organizing start-up businesses and joint ventures in the United States, Western and Eastern Europe and the Newly Independent States (NIS). ILC advises clients with regard to complex legal issues arising in cross-border technology transfers and marketing of technological products developed in the NIS and sold or licensed in the West with a focus on information security products, software development, biotechnology and telecommunication. ILC’s attorneys have drafted and negotiated loan agreements and equity investments for projects in the technology, infrastructure, energy, urban development, financial and other sectors.

Plesk, Inc. Representation of the Delaware company in the sale of its assets to SWsoft, a hosting automation and enterprise server software company. As a result of the transaction, SWsoft became the leader in the industry with over 30 thousand servers deployed to support the three million businesses currently using the combined companies’ hosting products that manage corporate web sites, email servers, and file servers.

Advising Innalabs Inc., a US-based technology “incubator,” in connection with its corporate structuring and financing; acted as lead counsel in documenting and negotiating several transactions of the company regarding the transfer and marketing of Russian technologies in the United States and related multi-million dollar financings.
